We will not pass on the information you give us to third parties unless required by law or with your consent. Terms of Business

General

  1. Please read the terms of business carefully and sign the Authorisation Form (forwarded in due course) only if you agree with those terms.
  2. In these Terms, “Client” shall mean the persons or Company to whom “Hamilton’s HR Ltd” provides the services.
  3. Business mileage will be charged at the current HMRC rate of 45p per mile. Any other travel or accommodation costs incurred on client business will be re-charged at cost.

Payment Terms

  1. Agreed fees are invoiced on completion of the work (unless otherwise agreed) and are payable within 14 days of the date of invoice.
  2. Hamilton’s HR Ltd liability shall be limited to that amount paid by the client in respect of any service.
  3. Time shall be of the essence, and interest will be chargeable at the rate of 2% above the Bank of England base rate at the date of invoice, per month on any invoiced amount that remains unpaid for more than 30 days past the due date as defined above.
  4. A deposit of 25% may be requested in advance where deemed appropriate by Hamilton’s HR Ltd.
  5. VAT will be added to all invoices at the current rate.
  6. Business mileage will be charged at the current HMRC rate of 45p per mile.  Any other travel or accommodation costs incurred on client business will be re-charged at cost.

Projects / Training / HR Events

In respect of agreed projects, training and HR events:

  1. Notice of cancellation or change of date must be in writing, and becomes effective only on the date Hamilton’s HR Ltd receives such notice in writing.
  2. In the event that Hamilton’s HR Ltd receives such notice more than 42 days before the start of the event or consultancy, the fees for preparation and development work carried out, and any expenses incurred shall be payable (but there is no cancellation fee for the event or consultancy itself).
  3. In the event that Hamilton’s HR Ltd receives notice of cancellation between 28 and 42 days before the start of the event or consultancy, the fees for preparation and development work carried out, and any expenses incurred, shall be payable and, in addition, such sum as shall represent 50% of the event or consultancy fee shall also be payable.
  4. In the event that Hamilton’s HR Ltd receives notice of cancellation less than 28 days before the start of an event or consultancy, the fees for preparation and development work carried out, and any expenses incurred, shall be payable and, in addition, and the full event or consultancy fee shall also be payable.
  5. Hamilton’s HR Ltd reserves the right to cancel any service in the event of illness and non-availability of any venue, or any cause outside its direct control.  In such cases, Hamilton’s HR Ltd shall give the client as much notice as may be reasonably possible.
  6. Hamilton’s HR Ltd will retain ownership of and sole rights to the copyright in any material produced for the purpose of an event.  No part of such material may be reproduced or transmitted in any form by any means including photocopying and recording without written permission from Hamilton’s HR Ltd.  Such written permission shall also be obtained before any part of the material is stored on a retrieval system of any nature.
  7. Hamilton’s HR Ltd will use all reasonable endeavours to deliver the service as specified but reserves the right to vary, alter or modify any service without prior notice if deemed necessary, and to change or substitute trainers or consultants where circumstances require.

Consultant's Obligations

  1. Hamilton’s HR Ltd will carry out the services with reasonable skill, care and diligence.
  2. Hamilton’s HR Ltd will not at any time divulge or allow to be divulged any information which may come to its knowledge relating to the business or affairs of the Client. Hamilton’s HR Ltd shall treat all such information as strictly confidential and this provision will apply for the duration of the contract and after its termination.
  3. For the purposes of this contract, Hamilton’s HR Ltd shall appoint Tania Hamilton to carry out the services and shall not, without the prior written approval of the Client, substitute Tania Hamilton for any other person.

Insurance and Indemnity

  1. Hamilton’s HR Ltd shall fully indemnify the Client against all actions, claims, demands, proceedings, damages, costs, charges and expenses whatsoever in respect of the provision of the services, except to the extent that it arises from the negligence/misrepresentation of the Client and Hamilton’s HR Ltd shall effect and maintain professional indemnity insurance with a reputable insurance company.
